Steve Lovelady is a business attorney with extensive experience advising clients about transactions and regulatory compliance. During almost three decades as a practicing attorney, Steve has drafted and negotiated numerous transaction documents, including: non-disclosure/confidentiality agreements; letters of intent; asset/stock purchase agreements; options; escrow agreements; closing documents (bills of sale, assignments of contracts, etc.); and post-closing indemnity agreements. Steve is also well-versed in private company formation/governance matters and on-going business operations, such as preparation of: articles of incorporation; certificates of formation; bylaws; operating agreements and shareholder agreements; non-competition, employment and independent contractor agreements for staff; real property and equipment leases; and products and services sales agreements. Steve has worked extensively on bank and seller financing for clients, including review and negotiations of: loan agreements; security agreements; guaranties; estoppel certificates; subordination/non-disturbance agreements; and promissory notes.
