Mr. Clemons is a partner in the firm’s Executive Compensation & Benefits group. Mr. Clemons has over 25 years of experience advising on employee benefit plans and executive compensation and fiduciary liability issues involving the Internal Revenue Code and the Employment Retirement Income Security Act. His experience includes advising companies ranging in size and complexity from technology start-ups to large publicly held corporations. In addition, he also regularly provides advice on the tax, accounting and securities laws aspects of equity-based compensation programs, such as stock option plans, stock purchase plans, restricted stock programs and phantom stock programs for US companies and, in many cases, their worldwide employees, as well as non-US companies desiring to expand coverage of their home country compensation programs to US employees. Mr. Clemons represents clients before the Internal Revenue Service, the US Department of Labor and other federal agencies. Mr. Clemons is actively involved in technology organizations in the Mid-Atlantic region. He also periodically writes and lectures on planning and implementing compensation programs.
