Jennifer Cormano represents both nonprofit and for-profit health care providers, including hospitals, physician groups, academic medical centers, surgery centers, accountable care organizations and other organizations affiliated with the health care industry. Jennifer’s practice focuses on hospital/physician alignment strategies, corporate governance and formation matters, joint ventures, mergers, acquisitions and other strategic transactions.

Mergers and Acquisitions
I represent both buyers and sellers in the purchase and sale of businesses in the health services and life sciences industries. A fair amount of my practice is comprised of complex transactions among multiple constituents and involvement with the California Attorney General’s Office. In addition, I have experience partnering with private equity professionals and helping clients purchase assets from sellers in bankruptcy proceedings to assemble creative solutions for our clients.
Hospital/Physician Alignment Strategies
I collaborate with hospitals and private practices in their integration strategies. These transactions often involve complex legal and business issues as the parties attempt to adapt to changes in health care regulations and economics. In addition, they require creative structures and a thorough understanding of the regulatory corporate practice of medicine landscape to ensure flexibility and independence for health care providers who participate in joint ventures. Some recent transactions have also involved working with international constituents in joint ventures overseas.
General Corporate Matters
I counsel clients on corporate formation, from the creation of their corporate entity to its dissolution, including companies with multi-state health care operations. I also support general corporate matters, including contract drafting and negotiation, governance issues and corporate planning.
