Mr. Newman has significant experience advising individuals and companies (publicly and privately-held) on a variety of legal issues, and in many instances he serves as outside general legal counsel for his clients. His clients are engaged in a variety of industries including manufacturing, distribution, financial services, software, gaming, real estate development, and energy.
Mr. Newman typically advises his clients on issues such as entity selection and formation, governance and compliance matters, structuring and completing mergers and acquisitions and other business combinations, licensing and distribution arrangements, real estate acquisitions and dispositions, real estate leasing, and general business matters.
He regularly reviews, negotiates and drafts agreements for the sale or purchase of equity interests or assets, merger agreements, buy-sell agreements, employment and consulting agreements, non-competition and related agreements, confidentiality agreements, licensing and distribution agreements, and a variety of agreements on more deal-specific or specialized topics.
For medical groups and others involved in the area of healthcare, Mr. Newman provides counsel on such matters as entity selection and formation, restructuring of practices, employment agreements and leases of real property.

Mr. Newman has lectured on a variety of legal topics, including buying and selling businesses, and he has authored or co-authored materials on this and other topics. Mr. Newman has taught courses at the University of Nevada, and he has been a frequent guest lecturer at graduate and undergraduate courses at the University.
