Bari B. Cariello focuses her practice on the negotiation and documentation of sophisticated municipal financial products. To help clients achieve maximum efficiencies while protecting their financial interests, Bari draws on nearly 25 years of experience advising financial institutions and other clients on the execution of a wide range of derivative products in the governmental and nonprofit markets. These diverse products include swaps, caps, options, forwards and other hedging arrangements, as well as forward delivery agreements, repurchase agreements and other investment products. Bari also regularly counsels clients on their execution of total-return swap transactions.
In addition to her work in the derivatives arena, Bari has extensive experience in the development of proprietary bank products such as variable rate bond products. Bari also represents clients in bank products such as direct purchase transactions, letters of credit, revolving lines of credit and standby bond purchase agreements.
Bari has represented clients in thousands of transactions in the tax-exempt market, including virtually all types of tax-exempt financings. She regularly provides guidance on issues relating to legal authority and security for payment, and has particular knowledge of health care/obligated group credits and master trust indenture structures. In recent years, she also has provided guidance on distressed municipal debt offerings. Among other forms of tax-exempt financings, Bari has counseled clients on general obligation, subject to appropriation, and revenue bond financings, as well as multimodal, variable, auction, and liquidity and credit-enhanced structures. She also routinely provides guidance on issues relating to governmental pension funds.
Since joining McDermott in 2004, Bari has been an active leader in the Firm’s internal and client-service initiatives. She is currently a member of the Pro Bono Committee in the New York office, and frequently represents clients on a range of pro bono matters, including representing start-up non-profit companies filing for 501(c)(3) status.
